Statute of the Association "Mother's Culture"

ART. 1) NAME
The association of social promotion called "Mother's Culture" hereinafter referred to as the Association, has been constituted for an unlimited duration,
The Association pursues the purpose of social utility in relation to members or third parties, is of unlimited duration and is non-profit. Any profits arising out of activities will be reinvested for the pursuit of the institutional goals of the association. The association can therefore use any form of voluntary work and collaboration which excludes the scope of profit.
The Association is non-political, non-sectarian and is inspired by its internal rules and on the principles of democracy and equal rights for members.
The Association is governed by this Statute and is inspired by the principles of the Law n° 383, of 07.12.2000 and the Regional Law n°7 of 02.07.2006 of the of the Piedmont Region.
Additional aspects of the internal organization of the Association are governed by any rules approved by the General Assembly on the proposal of the Board of Directors.

ART. 2) HEADQUARTERS
The Association has its headquarters in CABELLA LIGURE (AL) - via Cosola 17/19. Cap.15060. The transfer of the registered office does not require statutory change, if it takes place within the same Municipality.
The Board of Directors has responsibility for changing the registered office, where it deems necessary, subject to the approval of the members.
The Association shall promptly notify any change of registered office to those responsible for keeping Lists and Registers.
The Association may, if it deems necessary, establish branch offices and or independent sections, from the financial, organizational and economic points of view.

ART. 3) AIMS AND PURPOSES
The Association pursues the following aims and objectives:
- to publicize the culture of the mother, especially - but not only - that taught by Shri Mataji Nirmala Devi through Sahaja Yoga.
- allow unimpeded access to the culture of Mother to all those who desire it, overcoming linguistic diversity, with the translation and dissemination of existing material in languages other than that of interest (for example, the Italian translation of the material in English or in other languages and translation in English, or in other languages of the existing material in Italian);
- spread this material through the creation of libraries or the provision of such materials in already existing libraries and shops
- create and participate in activities and events designed to achieve those objectives.

ART. 4) ACTIVITY
To carry out the purposes of Art. 3, l 'Association may perform the following tasks:
- build, buy, rent and acquire suitable premises, in any way, for the development of the socio-cultural and educational initiatives;
- to promote, assist, guide, coordinate, cooperate with other associations or entities through which the cultural purposes of the association may be better achieved;
- translate, publish and print, acquire, distribute books, newspapers, magazines, newsletters, information and any other type of publications, printed and audio visual material needed to support the activities of the association.
 Promote, for the betterment of society:
- the knowledge of the feminine aspect of the Divine
- respect for Mother Earth
- the discovery and respect for the qualities of the woman and her powers.
- implement all forms of activities to empower the moral, intellectual, physical and cultural capacities of the members;
-spread the message of Sahaja Yoga with theoretical and practical courses in schools, places of education, institutes of physical and psychological rehabilitation, especially in prisons, at the A.S.L. or with institutions dealing with the recovery of health and from all kinds of addictions like alcohol or drugs
- to promote the exchange of ideas, experiences and knowledge between members and third parties;
- establish a profitable use of leisure time.
In addition, the Association, by specific resolutions, may:
- administer food and beverages at events pursuant to art. 31, paragraph 2 of Law 383/2000;
- make occasional public collections of funds;
- exercise, in a purely marginal and non-profit way, commercial activities and promotional initiatives aimed at its own financing (such as parties and subscriptions also to awards) for self-financing; in which case it must comply with the administrative and fiscal regulations in force;
-perform all the other activities necessary or useful for the achievement of its social goals.
To achieve the above-mentioned activities, the Association relies mainly on voluntary and free commitment and its members. In case of special need it may also make use of self-employed persons or employees, also resorting to its own members.

ART. 5) THE MEMBERS
The Association may admit Italian and foreign citizens who share the principles and purposes of the Association. The number of members is unlimited. Membership of the Association is open to individuals and organizations that share its goals, committed to achieving them and are motivated by a spirit of cooperation and solidarity.
There is no discrimination based on gender, ethnic, racial, cultural, political or religious when evaluating an application for entry in the Association, nor among the members of the Association.
There shall be no difference in treatment between the members regarding the rights and obligations towards the Association.
Members have the right to:
- participate in all activities sponsored by the Association, receiving information and having the power to check within the limits established by law, by the actual Statute and the regulations of the Association;
- elect the governing bodies and to be elected in the same;
- cast their vote regarding the approval of the resolutions of the governing bodies, any Rules and amendments to the Statute.
Members are required:
- the observance of the Statute, the Rules and the decisions taken by the governing bodies;
- payment on-time of the membership fee, established annually by the Assembly of the members. The membership fee is not transferable and cannot be re-valued and under no circumstances can be returned.
 The admission of a new member is decided by the Board of Directors following the submission of a written request containing the applicant's commitment to adhere to this Statute and to comply with any regulations and decisions adopted by the organs of the Association. The eventual rejection of the application for admission must however be justified.
At the moment of receiving the membership card, the applicant, to all intents, acquires the status of member, which is non-transferable.
In any case, the temporary nature of participation as a member is excluded, except for the right of withdrawal.
The status of member is lost by withdrawal, exclusion or because of death. The resignation of a member must be submitted in writing to the Board of Directors. The exclusion of a member must be approved at the Meeting of the members, at the proposal of the Board of Directors, on behalf of a shareholder who:
- does not comply with the provisions of this Statute, any regulations and resolutions legally adopted by the bodies of the Association;
- without justification, becomes delinquent in the payment of the annual membership fee, as approved by the members;
- carries out activities contrary to the interests of the Association;
- in any way causes serious damage, also moral, to the Association.
The exclusion of a member becomes effective from the moment of being written in the register of the members.
The resolutions made regarding termination, revocation and exclusion must be communicated to the relative members by letter.
The member ceased or excluded must meet his/her obligations until the actual time registration of the termination or withdrawal, as well as define, as regards the Association, the members, third parties, the legal relations established as an associate of the Association.
The loss of status of associate involves the automatic forfeiture of any office held both inside and outside of the Association for designation or proxy.
In all cases of termination of membership limited to an associate, they or their heirs are not entitled to reimbursement of the fee paid annually or have any rights to the assets of the Association.

ART. 6) MEMBERSHIP FEES
The members must pay, by June 30 of each year, the annual membership fees in the amount established by the Assembly.
Membership of the Association does not oblige any other funding or further expenditures in addition to the payment of the above, but it is up to the members to make other contributions above the annual fee and, in any case, subject to the payment of any extraordinary contributions referred to in Article 9 of the Statute.

ART. 7) BODIES OF THE ASSOCIATION
The bodies of the Association are:
- The Members' Assembly;
- The President;
- The Governing Council.
- The Auditors.

ART. 8) GENERAL ASSEMBLY
The General Assembly is the highest organ of the Association, which regulates its activities, it is composed of all the members and is governed by the principle of the single vote.
All members are entitled to attend the Meeting if they have paid their annual membership fee and have not had or do not have on-going disciplinary action.
Each Member may be represented by another member, granting him a written proxy. No member may represent more than 7 members
The Assembly. both ordinary and extraordinary, is chaired by the Chairman of the Board or, in his absence, the Vice-President or by the most senior in age. If necessary, the Assembly elects a secretary.
The Assembly shall be convened by the President, when expressly so requested by at least 1/10 (one tenth) of the members entitled to vote, or at the request of a majority of members of the Board of Directors. The President must convene the meeting within a period of 15 days, putting on the agenda the issues proposed by the applicants.
The convocation is sent out in writing 15 days in advance and must contain the agenda, place the date and time of the first call and the second call, which must take place at least the day after the first.
In the absence of formal summons or failure to comply with the terms of notice meetings are equally valid if attended in person or by proxy all members.
The resolutions passed by the Assembly are binding for all members, even absent or dissenting.
The Assembly may be ordinary or extraordinary. It is extraordinary if called for the amendment of the statutes and the dissolution of the association. It is ordinary in all other cases.
The discussions and decisions of the Assembly are described in a report prepared by a specially elected member of the Assembly and signed by him and by the President.

ART. 9) ORDINARY ASSEMBLY
The Ordinary General Assembly is validly constituted on first call with the presence of half plus one of the members, having voting rights, participating, and on second call regardless of the number of members present or represented.
The deliberations of the Assembly are valid when approved by half plus one of the members present or represented.
The Ordinary General Assembly shall be convened at least once a year to approve the financial statements within six months of the end of the financial year
The Ordinary General Assembly:
- approves the budget, the final accounts and activity report;
- discusses and approves the work programmes;
- elects, from among the members, the members of the Board of Directors and approves the number;
- appoints the Board of Auditors, and establishes any compensation in the event that the auditors are external to Association;
- ratifies the replacement of members of the Board of Directors who have resigned, forfeited or are deceased, by using the ranking of non-elected members;
- approves eventual rules and their variations;
- decides on the annual membership fee and any extraordinary contributions;
- decides on the exclusion of members;
- decides on all the other items submitted to it by the Board of Directors;
The Assembly appoints the Board of Directors to perform all the actions necessary to achieve the objectives set by the association.
Members' resolutions shall be published by posting the minutes in the records held in the headquarters and inserted in the book of minutes and deliberations of the Assembly, held by the Secretary.

ART. 10) EXTRAORDINARY ASSEMBLY
The convening of the extraordinary assembly is made in the manner provided by art. 8.
The Extraordinary Members' Assembly:
- approves any amendments to the Statute with the presence, in person or by proxy, of two-thirds of the members and by a debated decision by a majority of those present;
- dissolves the association and allocates the assets with the favourable vote of three 3/4 (three quarters) of the members present

ART. 11) REQUIREMENTS FOR OFFICERS OF THE ASSOCIATION
All members may take up corporate offices,
- if they have paid their membership fee for the year in which the elective Assembly takes place;
- which have not been subject to expulsion or exclusion;
- which do not have pending expulsion or exclusion against them.

ART. 12) BOARD OF DIRECTORS
The Board of Directors consists of a minimum of seven to a maximum of eleven members, who remain in office for three years and may be reappointed for a maximum of two consecutive terms, except in the case where no new candidates have been presented for total or partial renewal of the Directors: in which case the Assembly may re-elect the outgoing members.
The Assembly which proceeds with the election first determines the number of Directors in relation to the electing Board of Directors.
The Board of Directors shall elect, from among its members, with an absolute majority of votes, the President, Vice President, Treasurer, Secretary
In case of death, resignation or exclusion of Directors before the expiry of the mandate, the Board of Directors shall replace them using the list of non-elected members: the replacement must be ratified by the next ordinary Assembly and lasts until the expiry date of the surrogates.
In the case of the expiry of more than half of the members of the Board of Directors, the Assembly shall by election renew the entire organ.
The Board of Directors directs the activities of the Association, shall implement the mandates and decisions of the Assembly and is vested with the broadest powers for the ordinary and extraordinary management of the Association, except those which the law and the Statute give to the Assembly .
All associative positions are covered free of charge.
The Directors may be reimbursed for the expenses actually incurred and registered relating to the performance of tasks and activities on behalf of the Association, within the maximum established by the Assembly.
The Board of Directors is responsible to the Assembly for the operational management. In particular, it performs the following activities:
- implements all the resolutions of the Assembly;
- draws up and submits to the Assembly the budget, the final accounts and activity report;
- decides on applications for new members;
- submits proposals to the Assembly for the exclusion of members;
- submits, for the approval of the Assembly, the annual fees for the members and any eventual extraordinary contributions;
- may set up Committees, composed of members or experts, not necessarily members, for the definition and the practical implementation of specific programs and projects;
- make all acts of ordinary administration that do not form part of the work of the Assembly.
The Board of Directors is chaired by the Chairman or, in his absence, the Vice-President.
The Board of Directors shall be convened by the President at least once a year and whenever there is matter has to be discussed, or when a request is made by at least three components.
The convocation is communicated in writing ten days in advance and must contain the agenda, place, date and time of the session. In the absence of formal summons or failure to comply with the terms of notice are equally valid meetings attended by all members of the Board of Directors.
 The minutes of the meetings of the Board of Directors, prepared by the Secretary and signed by him/her and by those who presided over the meeting, shall be kept on record.
For the validity of the resolutions the effective presence of the majority of members of the Board of Directors is needed. Decisions shall be adopted by vote of the majority of those present in the event of an equality of votes the President has the final decision.
There is no possibility of delegation within the Board of Directors

ART. 13) CHAIRMAN
The President, elected by the Assembly, is appointed for three years and may be re-elected up to a maximum of three consecutive terms.
The President is the legal representative of the Association before third parties and in legal proceedings; takes care of the implementation of the resolutions of the Board of Directors, oversees all activities of the Association, shall convene and chair the Board of Directors, whose work is guarantor to the Assembly, convenes and chairs the Assembly of the members.
In case of absence or impediment, the functions are passed to the Vice President or, in his absence, the most senior member of the Board of Directors.
The President, in case of urgency, assume the powers of the Board of Directors and shall take the necessary measures, at the same time calling the Directors for their approval: the urgent measures adopted by the Chairman must be examined by the Board of Directors at the next meeting.

ART. 14) BOARD OF AUDITORS
If considered necessary, upon the proposal of the Board of Directors, the Assembly appoints the Board of Auditors. Auditors cannot be elected from the members of the Board of Directors.
The Board of Auditors consists of three effective members and two alternates. The Chairman of the Board of Auditors shall be elected by the Board of Auditors from its’ effective members.
The Auditors shall hold office for five years and may be re-elected for two consecutive terms.
The Board of Auditors controls the administration of the Association, may attend the meetings of the Assembly and of the Executive Committee, without voting rights, ensures the regular maintenance of the accounts and certifies the correspondence of the final budget to the accounts.

ART .15) CAPITAL AND REVENUE
The Association draws economic resources for the operation and conduction of its activities by:
- quotas and contributions from members and other persons;
- contributions from international organizations, the State, public entities and institutions having similar objectives as the Association;
- donations of members and third parties;
- revenue from the provision of agreed services;
- inheritance, gifts and bequests with inventory benefit;
- proceeds from the sale of goods and services to members, their families and partners and to third parties, also through the development of commercial activities, craft or agricultural activities, conducted in an auxiliary and subsidiary manner and not aimed at the achievement of institutional goals the Association;
- revenue from promotional initiatives aimed at self-financing, such as parties and subscriptions to awards;
- any other income permitted by law and accepted by the Association.
The contributions of the members shall be the annual membership fees and any extraordinary contributions established by the Assembly, which determines the amount.
The assets of the Association consist of movable and immovable property received by the Association in any capacity. The assets of the Association, in any form, are to be used only for the purposes for the ends and activities described in the Statute.
It may provide for a reserve fund in the budget: this provision includes any accumulated surpluses waiting to be reinvested in the institution, as a rule, in the next financial year.
It is forbidden to divide among the members, even in an indirect manner, any income derived from the Association.
 It is obligatory to reinvest any leftover running fees in favour of statutorily provided activities.

ART. 16) FINANCIAL STATEMENTS
The fiscal year and financial year begins on 1 January and ends on 31 December.
At the end of each financial year the Board of Directors draws up the budget, the final account and the report of activities, and submits them for approval. These documents must be deposited at the registered office of the Association within fifteen days prior to the meeting for consulted by any member.
The financial statements approved by the members shall be deposited at the registered office: the members have the right to consult and obtain copies.

ART. 17) DISSOLUTION
The Extraordinary Assembly may decide to dissolve the association by the affirmative vote of at least 3/4 (three quarters) of the members entitled to vote.
In case of dissolution of the Assembly shall appoint one or more liquidators and determine the arrangements for the liquidation of the company's assets and its devolution.
It is obligatory to assign any remaining assets of the Association, in the event of dissolution for any reason, to any other social promotion association with similar aims or for purposes of public utility and unless otherwise required by law.

ART . 18) FINAL RULES
For all that is not expressly provided for in this Statute, the rules of the Civil Code, the national law 383/2000 of the Regional Law 7/2006.


Statuto dell'Associazione “La Cultura della Madre

ART. 1) DENOMINAZIONE
E’ costituita  a tempo indeterminato l’associazione di promozione sociale denominata "La Cultura della Madre” di seguito indicata come Associazione,
L’Associazione persegue fini di utilità sociale nei confronti degli associati o di terzi, ha durata illimitata ed è senza scopo di lucro. Eventuali utili derivanti dalle attività svolte saranno reinvestiti per il perseguimento dei fini istituzionali dell'associazione. L'associazione può pertanto avvalersi di ogni forma di volontariato e collaborazioni prestate senza alcun profitto
L’Associazione è apartitica, aconfessionale e ispira le norme del proprio ordinamento interno a principi di democrazia e di uguaglianza dei diritti di tutti gli associati.
L’Associazione è disciplinata dal presente Statuto e si ispira ai principi della Legge 383 del 7.12.2000 e della Legge  Regionale 7 del 7.02.2006 Regione Piemonte.
Gli ulteriori aspetti relativi all’organizzazione interna dell’Associazione  sono disciplinati da un eventuale Regolamento deliberato dall’Assemblea dei Soci su proposta del Consiglio Direttivo.
ART. 2)  SEDE
L’Associazione ha sede in  CABELLA LIGURE (AL) – via Cosola 17/19. Cap.15060. Il trasferimento della sede legale non comporta modifica statutaria, se avviene all’interno dello stesso Comune.
E’ data facoltà al Consiglio Direttivo di cambiar la sede legale, ove se ne ravvisi la necessità, previa deliberazione dell’assemblea dei soci.
L’Associazione è tenuta a comunicare tempestivamente qualsiasi trasferimento di sede agli enti gestori di pubblici Albi o Registri nei quali è iscritta.
L’Associazione ha facoltà, qualora se ne ravvisi la necessità, di istituire sedi secondarie e o sezioni autonome dal punto di vista patrimoniale, organizzativo ed economico.
ART. 3)  SCOPI E FINALITA’
L’Associazione persegue i seguenti scopi e finalità:
- Far conoscere la cultura della madre, in particolare - ma non solo - quella insegnata da Shri Mataji Nirmala Devi in Sahaja Yoga.
- Rendere possibile l'accesso alla cultura della Madre a tutti coloro che lo desiderano, superando le diversità linguistiche, con la traduzione e la diffusione del materiale esistente in lingue diverse da quella che interessa (ad esempio, la traduzione in italiano del materiale in inglese o in altre lingue e la traduzione in inglese, o in altre lingue del materiale esistente in italiano);
- Diffondere  tale materiale attraverso la creazione di librerie o la fornitura di tale materiale a librerie e punti vendita già esistenti
- Creare e partecipare a iniziative e manifestazioni atte a raggiungere gli scopi suddetti.
ART. 4) ATTIVITA’
Per perseguire gli scopi di cui all’Art. 3 , l ‘Associazione può svolgere le seguenti attività:
- Costruire, acquistare, affittare e acquisire a qualsiasi titolo locali idonei allo sviluppo delle iniziative socio-culturali e formative;
- Promuovere, assistere, guidare, coordinare, cooperare con altre associazioni o enti attraverso i quali possono essere meglio conseguiti i fini culturali dell'associazione stessa;
- Tradurre, pubblicare e stampare, acquistare, distribuire libri, giornali,  riviste, notiziari di informazione ed ogni altro tipo di pubblicazioni, di stampati e di materiale audiovisivo  necessari come supporto all'attività dell'associazione.
 -  Promuovere,  per il miglioramento della società:
-  la conoscenza dell'aspetto femminile del Divino
- il rispetto della Madre Terra
- la scoperta e il rispetto delle qualità proprie alla donna e dei suoi poteri.
- Attuare tutte le forme di attività dirette ad accrescere le capacità morali, intellettuali e fisiche e culturali dei soci;
-Diffondere il messaggio di Sahaja Yoga  con corsi teorici e pratici nelle scuole, luoghi di istruzione, istituti di riabilitazione fisica e psicologica, in particolare nelle carceri, presso le A.S.L. o presso enti di recupero della salute e da ogni tipo di dipendenze come  alcool o droghe
- Favorire lo scambio di idee, esperienze e conoscenze tra i soci e terzi;
- Realizzare un proficuo impiego del tempo libero.
 Inoltre l’Associazione, mediante specifiche deliberazioni, può:
-  somministrare alimenti e bevande in occasione di manifestazioni ai sensi dell’art. 31, comma 2 della L. 383/2000;
- effettuare raccolte pubbliche occasionali di fondi;
- esercitare, in via meramente marginale e senza scopo di lucro, attività di natura commerciale e iniziative promozionali finalizzate al proprio finanziamento (come feste e sottoscrizioni anche a premi) per autofinanziamento; in tal caso dovrà osservare le normative amministrative e  fiscali vigenti;
-svolgere tutte quelle altre attività necessarie o utili per il conseguimento degli scopi sociali.
 Per il perseguimento delle suddette attività l’Associazione si avvale prevalentemente dell’impegno volontario libero e gratuito dei propri soci. In caso di particolare necessità può inoltre avvalersi di prestazioni di lavoro autonomo o dipendente, anche ricorrendo ai propri associati.

ART. 5) GLI ASSOCIATI
All’Associazione possono essere ammessi i cittadini italiani e stranieri che condividono i principi e gli scopi dell’Associazione.   Il numero dei soci è illimitato. Possono essere soci dell'Associazione le persone fisiche e gli enti che ne condividono gli scopi, si impegnano a realizzarli e sono mossi da spirito di collaborazione e solidarietà.
Non viene fatta alcuna discriminazione di genere, etnica, razziale, culturale, politica o religiosa al momento di valutare la domanda di ingresso nell’Associazione, né tra i soci dell’Associazione stessa.
Non è ammessa alcuna differenza di trattamento tra i soci riguardo ai diritti e ai doveri nei confronti dell’Associazione.
I soci hanno il diritto:
- di partecipare a tutte le attività promosse dall'Associazione, ricevendone informazioni e avendo facoltà di verifica nei limiti stabiliti dalla legislazione vigente, dal presente Statuto e dagli eventuali regolamenti dell’Associazione;
- di eleggere gli organi sociali e di essere eletti negli stessi;
- di esprimere il proprio voto in ordine all’approvazione delle deliberazioni degli organi associativi, degli eventuali regolamenti e di modifiche allo statuto.
I soci sono tenuti:
- all'osservanza dello Statuto, del Regolamento e delle deliberazioni assunte dagli organi sociali;
- al pagamento nei termini della quota associativa, annualmente stabilita dall’Assemblea dei soci. La quota associativa è intrasmissibile e non rivalutabile e in nessun caso può essere restituita.
L’ammissione di un nuovo socio viene decisa dal Consiglio Direttivo a seguito della presentazione di una richiesta scritta, contenente l’impegno del richiedente ad attenersi al presente Statuto e ad osservare gli eventuali regolamenti e le deliberazioni adottate dagli organi dell'Associazione. L’eventuale rigetto della richiesta di ammissione deve comunque essere motivato.
All'atto del rilascio della tessera sociale il richiedente, ad ogni effetto, acquisisce la qualifica di socio, che è intrasmissibile per atto tra vivi.
In ogni caso è esclusa la temporaneità della partecipazione alla vita associativa, salvo il diritto di recesso.
La qualifica di socio si perde per recesso, esclusione o per causa di morte. Le dimissioni da socio devono essere presentate per iscritto al Consiglio Direttivo. L’esclusione di un socio viene deliberata dall’Assemblea dei soci, su proposta del Consiglio Direttivo, nei confronti del socio che:
- non ottemperi alle disposizioni del presente Statuto, degli eventuali regolamenti e delle deliberazioni legalmente adottate dagli organi dell'Associazione;
- senza giustificato motivo, si renda moroso nel versamento della quota associativa annuale, deliberata dall’Assemblea dei soci;
- svolga attività contrarie agli interessi dell'Associazione;
- in qualunque modo arrechi danni gravi, anche morali, all'Associazione.
L'esclusione diventa operante dall'annotazione nel libro soci.
Le deliberazioni assunte in materia di recesso, decadenza ed esclusione devono essere comunicate ai soci destinatari mediante lettera,
Il socio cessato o escluso deve adempiere agli obblighi assunti sino al momento dell'operatività della cessazione o dell'esclusione, nonché definire nei confronti dell'Associazione, degli associati, dei terzi, i rapporti giuridici instaurati in qualità di associato dell'Associazione.
La perdita della qualifica di associato comporta la decadenza automatica da qualsiasi carica ricoperta sia all'interno dell'Associazione sia all'esterno per designazione o delega.
In tutti i casi di scioglimento del rapporto associativo limitatamente ad un associato, questi o i suoi eredi non hanno diritto al rimborso della quota annualmente versata, né hanno alcun diritto sul patrimonio dell’Associazione.

ART. 6) QUOTE ASSOCIATIVE
Gli associati devono corrispondere, entro il termine del 30 Giugno di ogni anno le quote associative annuali nell’importo stabilito dall’Assemblea.
L’adesione all’Associazione non comporta obblighi di finanziamento o di esborsi ulteriori oltre al versamento di cui sopra, ma è facoltà degli aderenti effettuare contributi ulteriori rispetto alla quota annuale e, comunque, fatto salvo il versamento degli eventuali contributi straordinari di cui all’articolo 9 dello Statuto.

ART. 7) ORGANI DELL’ASSOCIAZIONE
Sono organi dell’Associazione:
- L’Assemblea dei soci;
- Il Presidente;
- Il Consiglio direttivo.
- I Revisori dei Conti.

ART 8) ASSEMBLEA DEI SOCI
L’Assemblea  dei soci è il massimo organo dell’Associazione, di cui regola l’attività; è composta da tutti i soci ed è retta dal principio del voto singolo.
Hanno diritto di intervenire in Assemblea tutti gli associati in regola con il pagamento della quota associativa annuale e che non abbiano avuto o non abbiano in corso provvedimenti disciplinari.
Ciascun associato può farsi rappresentare da un altro associato, conferendo allo stesso delega scritta. Nessun associato può rappresentare più di 7 associati   
L'Assemblea. sia ordinaria che straordinaria, è presieduta dal Presidente del Consiglio Direttivo o, in sua mancanza, dal Vicepresidente o dal consigliere più anziano di età. In caso di necessità l’Assemblea elegge un segretario.
L'Assemblea si riunisce su convocazione del Presidente, quando ne fa espressa richiesta almeno 1/10 (un decimo) degli associati aventi diritto al voto, oppure su richiesta della maggioranza dei componenti del Consiglio Direttivo. Il Presidente è tenuto a convocare l’Assemblea entro il termine di 15 giorni, ponendo all’ordine del giorno gli argomenti proposti dai richiedenti.
La convocazione va diramata per iscritto con 15 giorni di anticipo e deve contenere l’ordine del giorno, il luogo la data e l’orario della prima convocazione e della seconda convocazione, la quale deve avere luogo almeno il giorno successivo rispetto alla prima”).
In difetto di convocazione formale o di mancato rispetto dei termini di preavviso sono ugualmente valide le adunanze cui partecipano di persona o per delega tutti i soci.
Le delibere assunte dall'assemblea vincolano tutti i soci anche assenti o dissenzienti.
L’Assemblea può essere ordinaria o straordinaria. E’ straordinaria quella convocata per la modifica dello statuto e lo scioglimento dell’associazione. E’ ordinaria in tutti gli altri casi.
Le discussioni e le deliberazioni dell’Assemblea sono riportate in un verbale redatto da un componente dell’Assemblea appositamente eletto e sottoscritto dallo stesso e dal Presidente.

ART. 9) ASSEMBLEA ORDINARIA
L’Assemblea ordinaria è validamente costituita in prima convocazione con la presenza della metà più uno degli associati aderenti, aventi diritto di voto, ed in seconda convocazione qualunque sia il numero degli associati intervenuti o rappresentati.
Le deliberazioni dell’Assemblea sono valide quando vengono approvate dalla metà più uno degli associati presenti o rappresentati.
L'Assemblea ordinaria deve essere convocata almeno una volta l'anno per l'approvazione del bilancio entro sei mesi dalla chiusura dell'esercizio finanziario  
L’Assemblea ordinaria:
- approva il bilancio preventivo, il conto consuntivo e la relazione di attività;
- discute ed approva i programmi di attività;
- elegge tra i soci i componenti del Consiglio Direttivo e ne approva il numero;
- nomina il Collegio dei Revisori dei Conti, stabilendone l’eventuale compenso nel caso che i revisori siano esterni all’Associazione;
- ratifica la sostituzione dei membri del Consiglio Direttivo dimissionari, decaduti o deceduti deliberata dal Consiglio Direttivo attingendo dalla graduatoria dei non eletti;
- approva l’ eventuale regolamento e le sue variazioni;
- delibera sulla quota associativa annuale e sugli eventuali contributi straordinari;
- delibera sull’esclusione dei soci;
- delibera su tutti gli altri oggetti sottoposti al suo esame dal Consiglio Direttivo;
   L’Assemblea delega il Consiglio Direttivo a compiere tutte le azioni necessarie a realizzare gli obiettivi definiti dall’associazione stessa.
Le deliberazioni assembleari devono essere pubblicate mediante l’affissione del relativo verbale all’albo della sede e inserite nel libro verbale delle riunioni e deliberazioni dell’Assemblea tenuto a cura del segretario.

ART. 10) ASSEMBLEA STRAORDINARIA
La convocazione dell’Assemblea straordinaria si effettua con le modalità previste dall’art. 8.
L’Assemblea straordinaria dei soci:
- approva eventuali modifiche allo statuto con la presenza, in proprio o per delega, di due terzi dei soci e con decisione deliberata a maggioranza dei presenti;
- scioglie l’associazione e ne devolve il patrimonio col voto favorevole dei tre 3/4 (tre quarti) dei soci aderenti


ART. 11) REQUISITI PER LE CARICHE ASSOCIATIVE
Possono rivestire le cariche sociali tutti i soci:
- che sono in regola con la quota associativa relativa all’anno in cui si svolge l’Assemblea elettiva;
- che non sono stati oggetto di provvedimenti di espulsione o esclusione;
- che non hanno in corso procedimenti di espulsione o esclusione nei loro confronti.

ART. 12) CONSIGLIO DIRETTIVO
Il Consiglio Direttivo è composto da un minimo di sette sino a un massimo di undici consiglieri, che durano in carica tre anni e sono rieleggibili fino a un massimo di due mandati consecutivi, salvo il caso in cui non si presentino nuove candidature per il totale o parziale rinnovo del Direttivo: in questo caso l’Assemblea può rieleggere i componenti uscenti.
L’Assemblea che procede alla elezione determina preliminarmente il numero di Consiglieri in seno all’elegendo Consiglio Direttivo.
Il Consiglio Direttivo elegge tra i suoi membri, a maggioranza assoluta dei voti, il Presidente, il Vicepresidente , il Tesoriere, il Segretario
In caso di morte, dimissioni o esclusione di Consiglieri prima della scadenza del mandato, il Consiglio Direttivo provvede alla loro sostituzione utilizzando l’elenco dei non eletti: la sostituzione va ratificata dalla successiva Assemblea ordinaria e dura sino alla scadenza del mandato dei consiglieri surrogati.
Nel caso decada oltre la metà dei membri del Consiglio Direttivo, l’Assemblea provvede tramite elezione al rinnovo dell’intero organo.
Il Consiglio Direttivo dirige l’attività dell’Associazione, attua i mandati e le decisioni dell’Assemblea ed è investito dei più ampi poteri per la gestione ordinaria e straordinaria dell’Associazione, fatti salvi quelli che la legge e lo Statuto attribuiscono all’Assemblea.
Tutte le cariche associative sono ricoperte a titolo gratuito.
Ai Consiglieri possono essere rimborsate le spese effettivamente sostenute e rendicontate relativamente allo svolgimento degli incarichi e delle attività per conto dell’Associazione, entro il massimo stabilito dall’Assemblea.
Il Consiglio Direttivo è responsabile verso l’Assemblea della gestione operativa. In particolare esso svolge le seguenti attività:
- attua tutte le deliberazioni dell’Assemblea;
- redige e presenta all’Assemblea il bilancio preventivo, il conto consuntivo e la relazione di attività;
- delibera sulle domande di nuove adesioni;
- sottopone all’Assemblea le proposte di esclusione dei soci;
- sottopone all’approvazione dell’Assemblea le quote sociali annue per gli associati e gli eventuali contributi straordinari;
- ha facoltà di costituire Comitati, a cui partecipano gli associati o esperti anche non soci, per la definizione e la realizzazione concreta di specifici programmi e progetti;
- compie tutti gli atti di ordinaria amministrazione che non spettano all’Assemblea dei soci.
Il Consiglio Direttivo è presieduto dal Presidente o, in caso di sua assenza, dal Vicepresidente.
Il Consiglio Direttivo è convocato dal Presidente almeno una volta l’anno e tutte le volte nelle quali vi sia materia su cui deliberare, oppure quando ne sia fatta domanda da almeno tre componenti.
La convocazione va diramata per iscritto con dieci giorni di anticipo e deve contenere l’ordine del giorno, il luogo la data e l’orario della seduta. In difetto di convocazione formale o di mancato rispetto dei termini di preavviso sono ugualmente valide le riunioni cui partecipano tutti i membri del Consiglio Direttivo.
I verbali delle sedute del Consiglio Direttivo, redatti dal Segretario e sottoscritti dallo stesso e da chi ha presieduto la riunione, vengono conservati agli atti.
Per la validità delle deliberazioni occorre la presenza effettiva della maggioranza dei membri del Consiglio Direttivo. Le deliberazioni sono valide con il voto della maggioranza dei presenti; in caso di parità di voti prevale la decisione del Presidente.
Non sono previste deleghe in seno al Consiglio Direttivo

ART. 13) PRESIDENTE
Il Presidente, eletto dall’Assemblea, dura in carica tre anni ed è rieleggibile fino a un massimo di tre mandati consecutivi.
Il Presidente ha la rappresentanza legale dell’Associazione di fronte a terzi e in giudizio; cura l’attuazione delle deliberazioni del Consiglio Direttivo; sovrintende a tutte le attività dell’Associazione; convoca e presiede il Consiglio Direttivo, del cui operato è garante di fronte all’Assemblea; convoca e presiede l’Assemblea dei soci.
In caso di assenza o impedimento le sue funzioni spettano al Vicepresidente o, in assenza di quest’ultimo, al membro più anziano di età del Consiglio Direttivo.
Il Presidente, in caso di urgenza, assume i poteri del Consiglio Direttivo e adotta i provvedimenti necessari, convocando contestualmente il Consiglio per la loro approvazione: i provvedimenti urgenti del Presidente vengono esaminati obbligatoriamente dal Consiglio Direttivo alla prima riunione utile.

ART . 14) COLLEGIO DEI REVISORI DEI CONTI
Qualora se ne ravvisi la necessità, su proposta del Consiglio Direttivo l’Assemblea elegge  nomina il Collegio dei Revisori dei conti. Non possono essere eletti Revisori contabili i membri del Consiglio Direttivo.
Il Collegio è composto da tre membri effettivi e da due supplenti. Il Presidente del Collegio dei Revisori dei conti è eletto dal Collegio tra i membri effettivi.
I Revisori contabili durano in carica cinque anni e possono essere rieletti per due volte consecutive.
Il Collegio dei Revisori dei conti controlla l'amministrazione dell'Associazione, può assistere alle riunioni dell'Assemblea e del Consiglio Direttivo senza diritto di voto, accerta la regolare tenuta delle scritture contabili e certifica la corrispondenza del bilancio consuntivo alle risultanze delle scritture contabili.
 
ART. 15) IL PATRIMONIO E LE ENTRATE
L’Associazione trae le risorse economiche per il funzionamento e lo svolgimento delle proprie attività da:
- quote e contributi degli aderenti e di privati ;
- contributi di organismi internazionali, dello Stato, di enti ed istituzioni pubbliche anche finalizzati alla realizzazione di obiettivi conformi agli scopi dell’Associazione;
- erogazioni liberali di associati e di terzi;
- entrate derivanti da prestazioni di servizi convenzionati;
- eredità, donazioni e legati con beneficio d’inventario;
- proventi derivanti dalla cessione di beni e di servizi agli associati, ai loro familiari conviventi ed a terzi, anche attraverso lo svolgimento di attività economiche di natura commerciale, artigianale o agricola, svolte in maniera ausiliaria e sussidiaria e comunque finalizzate al raggiungimento dei fini istituzionali dell’Associazione;
- entrate derivanti da iniziative promozionali finalizzate al proprio finanziamento quali feste e sottoscrizioni anche a premi;
- da ogni altra entrata permessa dalla legge e accettata dall’Associazione.
I contributi degli aderenti sono costituiti dalle quote associative annuali e da eventuali contributi straordinari stabiliti dall’Assemblea, che ne determina l’ammontare.
Il patrimonio dell’Associazione è costituito dai beni mobili ed immobili pervenuti all’associazione a qualsiasi titolo. Il patrimonio dell'Associazione sotto qualsiasi forma deve essere destinato esclusivamente ai fini e per le attività istituzionali previste dallo Statuto.
Si può prevedere un fondo di riserva in bilancio: tale fondo accoglie gli avanzi di gestione eventualmente accumulati in attesa di essere reinvestiti nell’attività istituzionale, di norma, nel successivo esercizio finanziario.
E’ fatto divieto di dividere tra gli associati, anche in forme indirette, gli eventuali proventi derivanti dall’attività dell’Associazione.
E’ fatto obbligo di reinvestire l’eventuale avanzo di gestione a favore di attività ististituzionali statutariamente previste..
ART. 16) BILANCIO
L’anno sociale e finanziario ha inizio il 1° gennaio e si chiude il 31 dicembre.  
Al termine di ogni esercizio il Consiglio Direttivo redige il bilancio preventivo e il conto consuntivo nonché la relazione di attività e li sottopone all’approvazione dell’Assemblea. Detti documenti devono essere depositati presso la sede dell’Associazione entro i quindici giorni precedenti l’adunanza per poter esser consultati da ogni associato.
Il rendiconto approvato dall’assemblea è depositato presso la sede sociale: gli associati hanno la facoltà di consultarlo e di ottenerne copie.
  
ART.  17) SCIOGLIMENTO
L’Assemblea straordinaria può decidere lo scioglimento dell’Associazione con il voto favorevole di  almeno 3/4 (tre quarti) dei soci aventi diritto di voto.
In caso di scioglimento l’Assemblea nomina uno o più liquidatori e determina le modalità di liquidazione del patrimonio sociale e la sua devoluzione.
È fatto obbligo di devolvere il patrimonio residuo dell’Associazione, in caso di scioglimento per qualunque causa, ad altra associazione di promozione sociale con finalità analoghe o ai fini di pubblica utilità e salvo diversa destinazione imposta dalla legge.

ART. 18) NORME FINALI
Per tutto ciò che non è espressamente contemplato dal presente Statuto valgono le norme del codice civile, della legge nazionale 383/2000, della legge regionale 7/2006.
